Terms of Service

These terms govern your use of Fazeelity, a facility booking and operations platform for venue owners, their staff, and their customers. Please read them carefully before using the service.
1. Acceptance of these terms
By creating an account, accepting an invitation, or otherwise using Fazeelity, you agree to these terms on behalf of yourself and any business you represent. If you do not agree, do not use the service. Fazeelity is operated by Marush Project's Limited (RC number 7059270), of 41 Accra Street, Wuse Zone 5, FCT, Abuja, Nigeria ("Fazeelity", "we", "us").
Where a separate signed agreement or order form exists between us, that agreement prevails over these terms to the extent of any conflict.
2. Who may use the service
- Businesses and venue owners operating one or more facilities
- Staff and team members authorised by a business owner or administrator
- Individuals with legal capacity to enter contracts, aged 18 or older
Business owners are responsible for the actions of everyone they invite, for setting each member's role, and for removing access when someone leaves. Staff roles have restricted permissions — for example viewing bookings without creating them — and must not attempt to bypass those restrictions.
3. Account registration and security
- Provide accurate registration details and keep them current.
- Keep credentials confidential; do not share logins between people.
- You are responsible for all activity carried out under your account.
- Notify us immediately at support@fazeelity.com of any suspected unauthorised access.
- You must have a lawful basis to upload personal data about your staff and customers, and you act as the controller of that data as described in our Privacy Policy.
4. Acceptable use and prohibited conduct
You must not:
- Use the service unlawfully, or to store or transmit unlawful content
- Attempt to access data belonging to another business or user
- Probe, scan, reverse engineer, or interfere with the platform or its security controls
- Circumvent role permissions, usage limits, or billing controls
- Upload malware, or use automated scraping that degrades performance
- Misrepresent financial records, issue fraudulent invoices or receipts, or launder funds
- Resell or white-label the service without our written permission
5. Bookings, payments, invoicing and refunds
Bookings between a venue and its customers
Fazeelity provides the software used to record and manage bookings. The contract for a session is between the venue and its customer. Pricing, availability, cancellation windows, no-show treatment, additional charges, and refunds are set by the venue, and the venue is responsible for honouring them.
Records and ledger behaviour
- Invoices, receipts and payment records are generated from the data you enter.
- Where a booking is invoiced, settlement is tracked against that invoice's payments.
- Installment payments and refunds are recorded against the originating booking or invoice.
- You are responsible for the accuracy of amounts, tax treatment, and account allocation.
Your subscription to Fazeelity
- Fees, billing cycle and currency: as stated on the plan or order form you accept, billed in Nigerian Naira (NGN) monthly or annually in advance.
- Taxes: fees are exclusive of VAT and any other applicable tax, which is added where required by Nigerian law. Where you are obliged to withhold tax, you must provide a valid withholding tax credit note.
- Late or failed payment may lead to suspension after a 14-day grace period.
- Refunds of subscription fees: fees are non-refundable except where required by law; if you cancel mid-term, access continues to the end of the paid period and no partial refund is issued.
Subscription fees are paid by bank transfer or another method we agree with you in writing. No card payments are processed inside the platform, and we never store card details.
6. Intellectual property
We own the platform, its software, design, and branding. You receive a limited, non-exclusive, non-transferable right to use it while your account is active.
You retain ownership of the data and content you upload, including your business logo. You grant us a licence to host, process and display that content solely to operate and support the service. Feedback you send us may be used to improve the product without obligation to you.
7. Service availability and disclaimers
We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party outages, and factors outside our control may cause downtime. Any service level commitment is limited to what is set out in a signed order form; no separate uptime service level is offered on standard plans.
The service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Fazeelity is not an accounting, tax or legal service; reports and financial figures are tools, not professional advice.
8. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost bookings, or lost or corrupted data arising from your use of the service.
Our total aggregate liability arising out of or relating to the service is limited to the total subscription fees you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
9. Termination and suspension
- You may cancel your account at any time; fees already due remain payable.
- We may suspend or terminate access for breach of these terms, non-payment, or security risk, with notice where practicable.
- After termination we retain and then delete data as described in our Privacy Policy. Export your records before closing your account — export window: 30 days after termination, after which exports may no longer be available.
10. Changes to these terms
We may update these terms as the service evolves. We will update the "last updated" date and notify account owners of material changes by email or in-app notice at least 30 days before they take effect. Continued use after that date means you accept the revised terms.
11. Governing law and dispute resolution
These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute informally — contact us and allow 30 days from the date we receive your written notice. If that fails, disputes will be submitted to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria. Consumer rights that apply mandatorily in your country are not affected.
